RELEASE AND ASSUMPTION OF RISK

By executing this Contractual Agreement (“Agreement”), I acknowledge that I intend to undertake an organized activity with The Modern Traveler LLC. (referred to as the “Company”) and that in order to do this I will need to involve myself in related aspects of such activity including, but not limited to special travel, risks of various kinds and degrees, differing living conditions and foods, a variety of interpersonal interactions, close-quarter conditions, varying types of medical risks, hazards, availability of medical care and support, differing weather conditions and terrain and other known or unknown risks that may come of such. In consideration of, and as payment for, the right to participate in such activities, services, or food arranged for me by the Company, I hereby assume and acknowledge all the associated risks and conditions involved with such activities and shall hold the Company and its owners, officers, agents, third-party vendors, and employees (collectively referred to as the “Representatives”) harmless and release and waive them from any and all liability, actions, causes of action, debts, claims, and demand of any kind and nature whatsoever which I now have or which may arise out of or in connection with my trip or participation in any other activities arranged for me by the Company. The terms hereof shall serve as a release in favor of the Company and its Representatives. I specifically acknowledge the assumption of any and all risks associated with my trip. The limitations and exclusions of liability set out in this Agreement apply to the maximum extent permitted by applicable law and survive termination of this Agreement for whatever reason. This Release and Assumption of Risk is meant to complement the Assumption of Risk Provision Found in Section 13, Terms and Conditions, and any additional Assumption of Risk waivers I may have to sign based on my specific travel program.

CLIENT AGREEMENT

The Client understands that they may be confronted with hostile environments including, but not limited to, changes in temperature, weather, terrain, government action, culture, pandemic or other acts of nature. Dangers and medical problems may occur which are linked with the risks associated with the Client’s trip. This environment and traveling closely in a small group may generate stress problems for the Client.

The Company and its Representatives shall not be held liable or responsible for any instances set forth in the foregoing paragraph.

The trip leader or any person as so delegated by the Company who is hosting may in the interest of safety and/or risk request the participants to stop any activity, or in such circumstances as required, terminate the entirety of the trip at any time during said trip.

The Client has completed all relevant forms and documents truthfully and agrees to the Release and Assumption of Risk. The Client acknowledges that they have read all the information supplied to Client including the Terms and Conditions and Release and Assumption of Risk and have accepted them without qualification.

The Client shall be responsible for making all travel arrangements to and from the originating city, i.e. Client shall be solely responsible for all costs, bookings, and other transportation-related arrangements to and from the city or location from which the trip begins.

The Client is responsible for opting out of any physical activities during the trip, including, but not limited to yoga, long walks, staircases and hills, uneven terrain, boat tours or any other activity if the Client is not physically able to participate. Neither the Company and/or its Representatives are responsible for any compensation for missed activities on the trip and the Client is responsible for payment for any personal transportation procured such as local taxis, Uber or any other transportation service.

The Client is responsible for payment for any trip additions such as extra nights at hotels before or after the trip, optional massages during the trip, additional museum tours not listed on the itinerary, additional meals and beverages not specifically listed on the trip itinerary, and upgraded wine tastings.

The Client gives the Company permission to use any photographs or video footage taken during the adventure in its marketing materials and social media.

TERMS AND CONDITIONS

These are the terms and conditions which will apply to your booking. By booking a trip you agree to be bound to all terms and conditions. Your signature below confirms that you have read, understand, acknowledge and agree to the Terms and Conditions on this Agreement, and that you understand that these terms apply to everyone in your party (if multiple names appear on the attached invoice).

1. GENERAL STATEMENT

All persons who intend to make a booking have sent in an application or deposit, paid for a booking in any amount (partial or full), and/or will or have begun or completed a trip with the Company and have carefully read and understand the Terms and Conditions this Agreement and any other documents provided by the Company. By making a booking by telephone, or on the website www.themodern-traveler.com or by email, or facsimile with the Company or its Representatives or its Agents, you accept on behalf of yourself and all those named on the booking including minors and persons with disabilities to be bound by these Terms and Conditions and this Agreement.. No persons shall be deemed to have booked a trip and the Company shall not assume any obligations and/or liability until timely receipt of the Applicant’s properly completed and executed Application Documents, and the deposit (together with the Trip Info Packet, Intake Questionnaire, Medical Release, Trip Waiver, Payment 4855-6969-9691, v. 1 Invoice, “Contract Documents”). Prior to a proper and timely booking, the Company reserves the right to increase or decrease any and all prices. The Company, its affiliates, agents and representatives reserve the right to decline any booking at their discretion. The person or persons named on the booking are herein above and hereinafter referred to as the “Client.” All bookings are made with the Company, however, the Company may utilize the service of agents, affiliates and/or third-party suppliers for various services provided for or associated with your trip. These Terms and Conditions together with the Contract Documents shall constitute the entire agreement between the Company and the Client relating to the subject matter herein, and shall constitute a binding agreement. There are no verbal or written representation(s), warranties, collateral agreement(s), prior agreement(s), description of services, or conditions, other than as expressed herein (and and all agreements must be in writing to be effective). The service to be provided is/are the trip(s) referred to in the booking confirmation.

2. CONDITIONS OF CARRIAGE

Carriage by road, air or by sea is subject to the individual carriers; conditions. The Company’s liability for death, and/or personal injury, and/or loss of and/or damage to luggage may be limited by the conditions in this Agreement, international conventions, treaties, or any applicable law including the Athens, Warsaw or Montreal Conventions.

3. MEDICAL

Clients and are obligated to review, complete, sign and return to the Company the Medical Information and Release Form as outlined in the Contract Documents. Any questions, comments or decisions related to the Client’s physical or mental suitability for a trip shall take place between the Client and their medical practitioner. The Client must complete the medical form honestly and accurately and disclose all medical history and information. The Company will review the information and keep the information in accordance with the privacy policy as outlined in the Medical Information and Release Form. The Company reserves the right to challenge any information submitted, ask for further information or clarity on certain points, or reasonably reject or rescind a client’s booking based on the medical information presented to the Company. If the Client has made a booking with the Company and subsequently is unable to complete the required medical form for any reason by the dates specified in the Trip Information Package Document, the Company reserves the right to treat the booking as canceled, and applicable cancellation penalties apply.

a. The Client acknowledges and understands that their trip may be to a destination that is remote, isolated, and removed from medical care facilities. Medical facilities vary from country to country and the Company and its Representatives make no representations and give no warranties in relation to the standard of such treatment. The Client agrees and acknowledges the risks, dangers, and limited availability or lack of any medical care associated with such travel and, together with all limitations of liability found in this document and the Contract Documents including those found in Medical Information and Release Form, absolve the Company and its Representatives of any liability of such risks, dangers, and failure to provide medical care.

b. The Client understands the honest completion of the Medical Information and Release Form will assist all concerned in any emergency situation. If there is a dispute between the Company and the Client in regard to the Client’s physical or mental suitability for a trip, the matter will be referred to a medical professional at the Client’s expense. 4855-6969-9691, v. 1

c. The Company must be notified in writing at the time of booking of any medical conditions, pregnancy, physically or mentally challenged conditions or disabilities which may affect fitness to travel. The Company shall not be held liable for the Client’s failure to notify the Company of any such conditions, and the Client assumes all risk for failure to disclose all aforementioned medical conditions. The Client’s failure to notify The Company of such conditions may result in the client being refused travel, in the case that results in cancellation, 100% of the cancellation fees are the responsibility of the Client. Some trips may be unsuitable for Clients due to age, mobility, pregnancy or physical or mental conditions. It is the Client’s responsibility to check prior to booking. For safety reasons, The Company may refuse to carry pregnant women or Clients with certain mental or physical conditions. The Company is not required to provide any special facilities unless it has been agreed to do so in writing. The Company will do its best to meet Clients special requests including dietary, but such requests do not form part of the Contract and therefore The Company is not liable for failing to provide these requests.

4. CURRENCY

The Company sells its adventures in United States Dollars (USD).

5. PAYMENT, CONFIRMATION, CANCELLATION

a. Payment Terms

Client acknowledges that all payments for this experience are processed through Top Travel Italy (“Supplier”), and will be charged in Euros (EUR). The Modern Traveler LLC does not hold or control client funds for this experience.

Client agrees to pay for the travel experience in accordance with the following schedule:

  • €1,000 deposit per person due at the time of booking to reserve a place in the experience

  • 30% of the total balance due by October 15, 2026

  • Remaining balance due by February 1, 2027

Client may elect to pay the full balance at any time prior to the final payment due date.

For bookings made after a scheduled payment date, any past-due amounts shall be due at the time of booking.

Failure to make payments by the stated deadlines may result in cancellation of Client’s reservation, and any payments made will be subject to the cancellation terms outlined herein.

Client acknowledges that currency exchange rates and any associated bank or credit card fees are the responsibility of the Client.

b. Trip Confirmation

Client acknowledges that this experience is limited to seven (7) participants.

The experience shall be deemed “confirmed” once all seven (7) participant spaces are filled and written confirmation has been issued by The Modern Traveler LLC via email, or at the sole discretion of The Modern Traveler LLC.

If the minimum participation requirement is not met, The Modern Traveler LLC reserves the right to cancel the experience and shall coordinate a full refund of all payments made by Client through the Supplier.

c. Cancellation by Client

i. Prior to Trip Confirmation
If Client cancels prior to trip confirmation, a €100 administrative fee shall be retained and the remaining portion of the deposit shall be refunded.

ii. After Trip Confirmation
Once the trip is confirmed, the following terms shall apply:

  • The €1,000 deposit becomes non-refundable

  • All subsequent payments are non-refundable once paid

If Client cancels after trip confirmation, Client shall forfeit all payments made to date, regardless of timing.

If Client’s space is filled by another participant, a partial refund may be issued at the sole discretion of The Modern Traveler LLC, less the administrative fee and any unrecoverable costs.

No refunds shall be issued for no-shows, late arrivals, early departures, or unused services.

Client further acknowledges that all payments are subject to the terms and conditions of the Supplier, and that certain payments made to the Supplier may be non-refundable in accordance with their policies. Client understands that The Modern Traveler LLC does not control the refund policies of the Supplier.

6. CLIENT INFORMATION & DOCUMENTATION

Client is responsible for providing all required personal and travel information necessary to confirm and operate the experience.

This includes, but is not limited to, passport details, legal names, contact information, and any additional documentation requested in the Trip Information Package.

All required information must be submitted by the deadlines specified by The Modern Traveler LLC.

Failure to provide required information by the stated deadlines may result in delays, additional costs, or the inability to confirm certain components of the trip.

If required information is not received at least sixty (60) days prior to departure, The Modern Traveler LLC reserves the right to treat the booking as canceled by Client, and cancellation terms outlined in this Agreement will apply.

Client acknowledges that failure to provide accurate and timely information may result in denied boarding, entry refusal, or disruption to the travel experience, for which The Modern Traveler LLC is not responsible. The Modern Traveler LLC reserves the right to charge a $250 administrative fee for repeated delays or incomplete submissions. Client detail requirements may vary by trip.

7. ELIGIBILITY

Participation in this experience is limited to adults aged twenty-one (21) and over at the time of departure. No exceptions will be made.
The Modern Traveler LLC reserves the right to request proof of age at any time prior to or during the experience.

8. PAYMENT PROCESSING FEES

All payments are processed through Top Travel Italy.

Client acknowledges that any credit card fees, foreign transaction fees, currency exchange differences, or bank charges are the responsibility of the Client.

The Modern Traveler LLC does not control or refund transaction fees charged by financial institutions or payment processors.

Any applicable refunds will be subject to outlined policies above.

9. CREDIT CARD CHARGES

All payments for this experience are processed through Top Travel Italy (“Supplier”).

Client acknowledges that any credit card fees, foreign transaction fees, currency exchange differences, or bank charges are the responsibility of the Client.

The Modern Traveler LLC does not control or refund transaction fees charged by financial institutions or payment processors.

In the event that a refund is issued in accordance with the cancellation terms outlined in this Agreement, such refund will be processed through the Supplier and may be subject to their processing timelines and policies.

Where applicable, any administrative fees outlined in this Agreement will be retained by The Modern Traveler LLC.

The Modern Traveler LLC is not responsible for any differences in refunded amounts due to currency fluctuations.

10. CANCELLATION OR MODIFICATION BY THE MODERN TRAVELER LLC

The Modern Traveler LLC reserves the right to cancel, postpone, or modify the experience for any reason deemed necessary, including but not limited to insufficient participation, safety concerns, supplier issues, or events outside of its control.

If the experience is canceled prior to trip confirmation due to insufficient participation, The Modern Traveler LLC will coordinate a full refund of all payments made by Client through the Supplier.

If the experience is canceled after confirmation but prior to departure, The Modern Traveler LLC will use reasonable efforts to offer a comparable alternative or coordinate a refund of recoverable funds through the Supplier.

Client acknowledges that certain payments made to third-party suppliers may be non-refundable and outside the control of The Modern Traveler LLC.

The Modern Traveler LLC is not responsible for any additional costs incurred by Client in preparation for the trip, including but not limited to airfare, transportation, visas, insurance, or other personal expenses.

11. UNUSED SERVICES

There will be no discounts or monies refunded for missed or unused services, including the Client’s voluntary or involuntary termination/departure from the trip, which includes but is not limited to sickness, death of a family member etc, late arrival on the trip, or premature departure either voluntarily or involuntarily.

12. PRICING & CURRENCY

All pricing for this experience is quoted in Euros (EUR) and is based on current supplier rates, availability, and exchange conditions at the time of planning.

Pricing is considered fixed once the trip is confirmed.

Client acknowledges that all payments are processed through Top Travel Italy and may be subject to currency exchange fluctuations, foreign transaction fees, or bank charges, which are the responsibility of the Client.

The Modern Traveler LLC is not responsible for any differences in total cost due to currency fluctuations between the time of booking and payment.

In the event that a supplier imposes changes to pricing, taxes, or required fees prior to trip confirmation, The Modern Traveler LLC reserves the right to adjust pricing accordingly.

13. ITINERARY CHANGES

The Modern Traveler LLC will make every reasonable effort to operate the experience as planned. However, Client acknowledges that travel involves a dynamic environment, and changes may be necessary.

The Modern Traveler LLC reserves the right to make adjustments to the itinerary, accommodations, experiences, or transportation where deemed necessary or advisable, including but not limited to operational needs, supplier changes, safety considerations, or local conditions.

Any such changes will be made with the intent to maintain the overall quality and integrity of the experience.

Client acknowledges that changes to specific hotels, activities, routes, or timing do not constitute a cancellation of the experience and do not entitle Client to a refund.

14. CHANGES BY CLIENT

Due to the nature of this experience, changes requested by Client after booking are not guaranteed and are subject to availability and supplier approval.

Requests for changes may result in additional costs, which shall be the responsibility of the Client. Within ninety (90) days of departure, changes are generally not permitted.

15.TRANSFER OF BOOKING

If Client is unable to travel, a request may be made to transfer the booking to another individual.

Any such transfer must be approved in writing by The Modern Traveler LLC and is subject to supplier approval.

The replacement participant must meet all requirements of the experience and agree to these Terms and Conditions.

Transfers may not be permitted within ninety (90) days of departure and may be subject to additional fees or cancellation terms.

13. ASSUMPTION OF RISK

Client acknowledges that participation in international travel involves inherent risks, including but not limited to illness, injury, delays, changes in conditions, and variations in standards of safety, infrastructure, and medical care.

Client voluntarily assumes all risks associated with participation in the experience, whether known or unknown, foreseeable or unforeseeable.

To the fullest extent permitted by law, Client agrees that The Modern Traveler LLC shall not be liable for any injury, illness, death, loss, damage, delay, or inconvenience arising out of or in connection with the experience, except to the extent caused by the gross negligence or willful misconduct of The Modern Traveler LLC.

Client further acknowledges that any activities not included in the itinerary (“Optional Activities”) are undertaken at Client’s sole risk. The Modern Traveler LLC makes no representations regarding such activities and assumes no responsibility or liability for them.

14. CONDUCT & AUTHORITY

Client agrees to comply with all applicable laws, regulations, and local customs during the experience.

Client further agrees to follow the reasonable instructions and authority of The Modern Traveler LLC and any designated representatives or local partners.

The Modern Traveler LLC reserves the right, at its sole discretion, to remove any Client from the experience whose behavior is deemed unsafe, disruptive, illegal, or detrimental to the enjoyment of others.

In such event, Client shall not be entitled to any refund and shall be responsible for any additional costs incurred, including transportation and accommodations.

15. TRAVEL DOCUMENTATION

Client is solely responsible for obtaining and maintaining all required travel documents, including but not limited to a valid passport, visas, entry permits, and proof of insurance.

Unless otherwise specified, passports must be valid for at least six (6) months beyond the return date of travel.

Client assumes all responsibility for any adverse consequences resulting from incomplete, invalid, or missing documentation, including but not limited to denied boarding, denied entry, or additional expenses.

Any information provided by The Modern Traveler LLC regarding travel requirements is for informational purposes only and does not constitute a warranty or guarantee.

16. FORCE MAJEURE

The Modern Traveler LLC shall not be liable for any failure or delay in the performance of its obligations where such failure or delay is due to events beyond its reasonable control (“Force Majeure Event”).

Force Majeure Events include, but are not limited to: acts of God, natural disasters, pandemics, epidemics, public health events, war or threat of war, terrorism, civil unrest, labor disputes, government actions or restrictions, border closures, transportation disruptions, or adverse weather conditions.

In the event of a Force Majeure Event, The Modern Traveler LLC reserves the right, in its sole discretion, to modify, postpone, or cancel the experience.

Client acknowledges that any refunds, credits, or adjustments will be subject to the terms and conditions of third-party suppliers and may not be fully recoverable.

The Modern Traveler LLC shall not be responsible for any additional costs incurred by Client as a result of a Force Majeure Event, including but not limited to airfare, accommodations, transportation, or other personal expenses.

17. TRAVEL INSURANCE

Client acknowledges that travel insurance is required for participation in this experience.

Client must maintain a valid travel insurance policy that includes, at a minimum:

  • medical coverage and emergency care

  • emergency evacuation and repatriation

Client is responsible for ensuring that their policy meets the requirements outlined by The Modern Traveler LLC and for providing proof of coverage upon request.

Client acknowledges that The Modern Traveler LLC is not an insurance provider and does not guarantee coverage under any policy.

Client further acknowledges that they are solely responsible for any costs incurred due to illness, injury, delays, cancellations, or other disruptions, whether before or during the experience.

The Modern Traveler LLC shall not be liable for loss, theft, or damage to personal belongings, including luggage and valuables, at any time during the experience.

Additional details regarding insurance requirements are provided separately and are incorporated herein by reference.

16. STANDARDS OF TRAVEL

Client acknowledges that travel involves varying standards of accommodations, transportation, and services, which may differ from those in Client’s home country.

Client understands and accepts that local conditions, infrastructure, and cultural practices may impact the quality, availability, or delivery of services.

The Modern Traveler LLC will make reasonable efforts to provide services consistent with the intended experience but does not guarantee uniform standards across all locations.

Variations in quality or service levels do not constitute a breach of this Agreement.

17. RESPONSIBILITY & THIRD_PARTY SERVICES

The Modern Traveler LLC acts as a travel designer and coordinator, arranging services through independent third-party suppliers, including but not limited to accommodations, transportation providers, and local operators.

The Modern Traveler LLC does not own, operate, or control these suppliers and shall not be liable for any acts, errors, omissions, delays, or failures of such third parties.

To the fullest extent permitted by law, The Modern Traveler LLC shall not be liable for any injury, death, loss, damage, delay, inconvenience, or irregularity arising from:

  • acts or omissions of third-party suppliers

  • mechanical failures or transportation issues

  • weather conditions or natural events

  • government actions or restrictions

  • theft, loss, or damage to personal property

Client acknowledges that all services are subject to the terms and conditions of the respective suppliers.

Client agrees not to seek duplicate recovery from The Modern Traveler LLC and any third-party supplier for the same loss.

18. CLAIMS & COMPLAINTS

Client agrees to promptly notify The Modern Traveler LLC or its designated representative of any issue or concern during the experience, in order to allow an opportunity to resolve the matter.

Failure to report a complaint during the trip may limit or bar Client’s ability to seek any remedy.

Any formal complaint must be submitted in writing within seven (7) days of the conclusion of the experience.

The Modern Traveler LLC shall not be liable for claims submitted after this period.

19. SUPPLIER TERMS

Client acknowledges that third-party suppliers, including airlines, transportation providers, and accommodations, operate under their own terms and conditions, which may limit or exclude liability.

Client agrees to be bound by such supplier terms where applicable.

The liability of The Modern Traveler LLC, if any, shall not exceed that of the applicable supplier.

20. PRICING & PROMOTIONS

All pricing is set based on the specific experience and is not subject to retroactive discounts.

Any promotions or special pricing are offered at the sole discretion of The Modern Traveler LLC and apply only as explicitly stated at the time of booking.

21. LOCAL CONDITIONS

Client acknowledges that the destinations visited may present political, cultural, environmental, and physical conditions that differ from those in Client’s home country.

Client voluntarily assumes all risks associated with such conditions, including but not limited to differences in infrastructure, weather, customs, and local regulations.

Client is solely responsible for familiarizing themselves with applicable laws, customs, and conditions at each destination.

22. OPTIONAL ACTIVITIES

Optional activities that are not expressly included in the itinerary (“Optional Activities”) are not part of the contracted experience.

Any assistance provided by The Modern Traveler LLC or its representatives in arranging Optional Activities is provided as a courtesy only.

The Modern Traveler LLC makes no representations regarding such activities and assumes no liability for any injury, loss, damage, or dissatisfaction arising from participation in Optional Activities.

Client participates in any Optional Activities at their own risk.

23. SEVERABILITY

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or, if not possible, severed from this Agreement.

All remaining provisions shall remain in full force and effect.

24. SUCCESSORS AND ASSIGNS

This Agreement shall be binding upon and inure to the benefit of the parties and their respective heirs, successors, and permitted assigns.

25. ERRORS AND OMISSIONS

The Modern Traveler LLC makes reasonable efforts to ensure the accuracy of all information provided in marketing materials, itineraries, and communications.

However, The Modern Traveler LLC shall not be liable for any typographical errors, omissions, or unintentional inaccuracies.

26. PRIVACY POLICY

Client acknowledges that personal information may be shared with third-party suppliers, including accommodations, transportation providers, and local partners, for the purpose of coordinating travel services.

The Modern Traveler LLC will take reasonable steps to protect Client’s personal information but cannot guarantee absolute security.

27. GOVERNING LAW; VENUE; WAIVER OF JURY TRIAL

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located within the State of California, and the parties hereby consent to the personal jurisdiction and venue of such courts.

To the fullest extent permitted by law, Client and The Modern Traveler LLC each waive the right to a trial by jury in any action or proceeding arising out of or relating to this Agreement.

28. MODIFICATIONS TO TERMS

The Modern Traveler LLC reserves the right to update or modify these Terms and Conditions at any time.

Any such updates will apply only to future bookings and will not materially affect reservations already confirmed, unless required by law or by third-party supplier terms.

The Terms and Conditions in effect at the time of booking shall govern the Client’s reservation.

29. PRIVACY

Client acknowledges that personal information may be collected and shared with third-party suppliers, including but not limited to accommodations, transportation providers, and local partners, for the purpose of coordinating travel services.

The Modern Traveler LLC will take reasonable measures to protect Client’s personal information in accordance with applicable data protection laws. If you have any questions about our data protection policy, you can contact our team at adrianna@themodern-traveler.com. However, Client acknowledges that transmission of data over the internet cannot be guaranteed to be completely secure.

30. Data Collection & Use

Client acknowledges that The Modern Traveler LLC may collect and process personal information necessary to plan, coordinate, and deliver travel services.

This may include, but is not limited to:

  • name, date of birth, and contact information

  • passport and identification details

  • travel preferences and itinerary information

  • emergency contact information

  • insurance details and relevant medical information (where required)

Such information is used solely for the purpose of arranging and delivering travel services and responding to Client inquiries.

31. Sharing of Information

Client acknowledges that personal information may be shared with third-party suppliers, including but not limited to accommodations, transportation providers, and local partners, where necessary to operate the experience.

By booking, Client consents to the collection, use, and disclosure of personal information for these purposes.

32. International Data Transfers

Client acknowledges that personal information may be transferred to and processed in countries outside of their country of residence, including the United States and countries within Europe where travel services are provided.
